These Terms & Conditions are applicable as of August 1st 2008.

1. Scope of Agreement
centrale-de-la-traduction.com is a B2B Marketplace Website owned and operated by GlobalNet Services Sarl, a French company registered in France under French Law and with Registered Office at 16 rue de l'Auviot, 88210 Senones, France. Trade names names and logos GlobalNet Services, Global Languages, Enchères B2B, B2B Auction, Verified Provider are registered trademarks owned by GloblaNet Services Sarl.
This Terms and Conditions of Use Agreement (the "Agreement") describes the Terms and Conditions applicable to User's use of the centrale-de-la-traduction.com web site at the URL www.centrale-de-la-traduction.com, referred to hereafter as the "Site".
This Agreement is entered into between you as the user of the Site (the "User") and the owner of the site. Whenever "his" is used herein, this refers implicitly to both male and female persons.
2. Definitions
2.1 Services of website
Services of centrale-de-la-traduction.com website ("Service") includes providing an electronic platform worldwide for business companies to submit requests for quotes in the area of Language and Associated Services, and for providers to submit competitive offers in response to such invitations. The site offers also Providers of Language and Associated Services an opportunity to register their profiles in our database. Other services includes: advertising in Sponsors' Directory or in spaces reserved for advertising on the site.

2.2 Users
For purposes of this Agreement, a "User" ("User") is any private person acting on its own, or on behalf of a legal entity such as a business or any other commercial or non-commercial organization who uses this site's services.

2.3 Business Users
Business Users are users from business companies who whish to advertise a project in the area of Language and Associated Services and receive quotes from Providers. They can enter Requests for Quotes by using a Registration and Request for Quotes Form.

2.4 Providers
Providers can be individual freelancers or companies (agencies) offering services in the area of Language and Associated Services, who whish to use the various Site's services. They are required to register as Members and enter their Profile..

2.5 Provider profile
Each Provider shall enter its personal profile as he registers on the Site.  Profile includes necessary details to have it identified as valid Provider's profile.
This includes the types of activities and the types of language combinations that he works in/with. Each user has to provide personal and company details required to validate its registration on the site. Failure to enter such vital data as language competencies and activity may lead to user registration failure and removal of user profile by the webmaster and /or owner of the site.   
Providers can identify themselves as Agencies or as Freelancers by checking the applicable checkbox.

2.6 Quote Request
For purposes of this Agreement, a Quote Request ("Quote Request") is any project posted by a Business User in Language and Associated Services who wish to receive quotes from Providers registered as members on the site. Posting Quote Requests on the site is free for Business Users.

2.7 Job announcement
For purposes of this Agreement, a job ("Job") is a project posted by an Agency/Provider in the area of Language and Associated Services, requesting freelancers to apply and make an offer for the job. Posting Jobs on the site is free.

2.8 Paid subscription
Other services offered Provider Users on the site are provided through paid subscription: this is the case for access to Quote Requests form Business Users and Sponsors Directory Listing, or Verified Providers Listing.

2.9 Site Owner and Webmaster
The owner ("Owner") of the site as designated above is legally responsible for operations of the site vis-à-vis users and third parties.  The Webmaster ("Webmaster") is the person in charge of administering the site, as assigned by the site owner.  

3. Registration

3.1 Registration of users on the site is free.

3.2 Each user shall provide the requested information on signup and warrant at all times that information provided is true and accurate. The user shall be dully authorized to make transactions on the site on behalf of any legal entity, as specified at registration. The site owner warrants that site operation meets all French legal obligations as regards Privacy Policy and that the site was subject to Declaration to CNIL (French Regulation Authority) under No. 1305097 as of 04-07-2008.

Any and all information provided by Registered Users, including its professional details, at registration, and later on, is under its sole responsibility. Unless the Service Provider has subscribed the Verified Provider Program, the Site Owner has no way to check details of Provider's profile. Therefore the Site Owner disclaims all responsibility for any untruthful or misleading information included in such profile and for any and all damages arising out of such information being provided.

User profile details registered on this site are automatically added to other GlobalNet Services sites, to provide users easy access to these other sites. By accepting these Terms, the user hereby accepts that its profile be added to other GlobalNet Services sites.

3.3 The owner of the site reserves its right to request further information from each user and check such information accuracy by any means and at any time. The owner further reserves its right to remove any user from its database, if it appears that registration was fraudulent, or that behavior of user on the site was not ethical or legal.

4. Posting Requests for Quotes and Jobs
4.1 In order to invite tenders for a project, a Business User can post its request in the dedicated site section. Projects and requests posted on the site shall not relate to activities deemed illegal in any country. Each user is solely responsible for content posted in his Requests for Quotes and Jobs. Obscene, pornographic or insulting content is strictly prohibited, and the Owner of the site reserves its right to remove any project with such content.

4.2 Information provided by each user when posting projects and projects is under its sole responsibility. Such information will be available to visitors and registered users alike, and the user shall therefore limit such information as is available to the general public. The Owner of the site disclaims all responsibility for damages resulting from disclosure of confidential information in content posted in projects.

4.3 This site offers a meeting place and an organized process for Users to post projects and providers to bid on such projects, until both parties can come hopefully to an agreement and close the project. The site owner has no means to check whether such projects posted by users meet all legal or safety requirements, and He has no means to check User financial standing and solvability. Similarly, the Site Owner cannot guarantee that providers who submit bids have all the competences required to deliver the associated services at the desired quality level. Therefore the Site Owner disclaims all responsibility for any and all damages in relation with projects and jobs posted on the Site.

4.4 The Site Owner and the Site Users are all independent contractors, and the Site Owner will never be a party to the transactions hereunder, and registration on the Site shall never be construed as creating any type of partnership, joint venture, or business agent relationship, or employer-employee relationship, between the Site Owner and the Site Users.

5. Registered users obligations
5.1. Posting projects
Projects posted by Users (whether Business Users or Providers) in Requests for Quotes and Job Announcements shall be real projects envisioned by Users in their organization, at whatever stage these may be, initial study or firm decision.

5.2 Delivering and paying for services
Whenever a contract is awarded for Language and Associated Services as a result of posting a project through the site, the Client (Business User) and the Supplier (Provider) involved are subject to common and specific contractual obligations as may have been agreed upon between them.
The Site Owner can not be held responsible for client and/or provider failure to meet such contractual obligations, including failure by the provider to deliver the required services at the desirable level, client failure to pay the set price, and all costs, losses, expenses, claims for damages by third parties, taxes, fines that might eventually result of such failures.      

5.3 Site Owner harmless
In the event that transactions carried out as a result of contact through the Site would result in disputes among users or with third parties, for reasons other than site operation, each User involved in such event waives all rights of recourse against the Site Owner. In addition, each User involved in such event agrees to keep Site Owner harmless for any and all claims for damages, losses, costs and expenses) on the part of other users and/or third parties, and arising out of such transactions.

6. Quote Requests alerts
6.1 Alerts to providers
When a Request for Quotes is entered to the site, all providers registered on site will receive alerts automatically based on their profile details. If they wish to make an offer and review the full details of the request, they shall hold or get active paid subscription.

7. Job alerts
7.1 Alerts to freelancers
When a Job is posted by an Agency looking for freelancers, all providers registered on site will receive alerts automatically based on their profile details. If they wish to make an offer and review the full details of the request, they shall login to the site and access the View Jobs section.


8. Fees
8.1 Job alerts service fees
This service is offered for a 2-week free trial for providers. The Site Owner reserves its right to change policy and rates, according to changes and costs of acquiring requests and jobs from customers. 
In compensation for the Service provided by the Site, Users who wish to review the full details of Quote Requests will pay fees as follows:
-    Buying Quote Requests by 1/several units, or
-    Subscription for 1/6/12 months

9. Invoicing and payment
Small fees for buying Quote Requests by units shall be paid cash by PayPal or CB (CyberPaiement).  
Other monthly subscriptions can be paid by check or wire transfer.
Fees will be invoiced with the name, address and invoicing details as provided at registration and/or updated in Registered User profile.
Amounts due are subject to VAT at the current applicable French rate (19.6%).
Invoices are payable immediately upon receipt by any means according to payment details as specified on invoice.

Any due amount will be subject to interest charges at the current applicable rate, and may result in suspension of User account on the site.     

10. Applicable Law and Competent Jurisdiction
This Agreement is governed by and shall be interpreted according to the Law of France.
Only the French Agreement is deemed applicable and valid.
In case of dispute over any of the above provisions, the Parties agree to submit the case to the only competent jurisdiction of the Court of Nancy (France).
